Terms of Service

By accessing or using Vatra Labs ("Service"), operated by Vatra Labs Incorporated ("Company", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Vatra Labs is a payment processing and community access management platform that enables content creators to monetize their Discord communities through subscription-based memberships. We facilitate:

• Secure payment processing between creators and subscribers via Stripe
• Automatic Discord role assignment based on subscription tiers
• Subscription management and billing
• Analytics and insights for creators

Vatra Labs does not directly provide content, communities, or creator services. We are a platform that connects creators with their supporters.

You must be at least 18 years old to use Vatra Labs. By using our Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

To use Vatra Labs, you must authenticate via Discord OAuth. By doing so, you:

• Authorize us to access your Discord account information as described in our Privacy Policy
• Accept responsibility for maintaining the security of your Discord account
• Accept responsibility for all activities that occur under your account
• Agree to notify us immediately of any unauthorized access

5.1 Subscription Platform Fees

Vatra Labs charges creators a platform fee of 5% on all subscription transactions processed through the Service. This fee is automatically deducted from each transaction.

5.2 Donation Fees

For donations, creators pay only the 5% platform fee plus Stripe processing fees. Unlike other platforms, Club Vatra does not take additional cuts from donations— we believe supporters' generosity should go directly to creators. The 5% platform fee covers infrastructure, fraud prevention, and support services.

5.3 Payment Processing Fees

Payment processing fees charged by Stripe (approximately 2.9% + $0.30 per transaction, varies by region and payment method) are separate from Club Vatra's platform fee. These fees are passed through as part of the transaction cost and are paid by the creator.

5.4 Fee Summary

All fees are deducted from the creator's payout. Supporters pay the listed price with no additional charges.

5.5 Refunds

Platform fees are non-refundable. Refund policies for subscription payments are determined by individual creators. Stripe processing fees may not be refundable per Stripe's policies.

Creators using Vatra Labs agree to:

• Provide accurate information about themselves and their offerings
• Deliver the benefits, content, and access promised to each subscription tier
• Comply with all applicable laws and regulations
• Comply with Discord's Terms of Service and Community Guidelines
• Not use Vatra Labs for illegal activities, fraud, or prohibited content
• Maintain appropriate moderation of their Discord communities
• Handle subscriber data in compliance with applicable privacy laws

Creators are solely responsible for the content, communities, and services they provide to subscribers. Vatra Labs is not responsible for creator conduct or content.

7.1 Access

Subscribers receive access to creator Discord communities based on their subscription tier. Access is automatically granted via Discord role assignment upon successful payment.

7.2 Access Revocation

Access may be revoked under the following circumstances:

• Subscription cancellation (access ends at period end or immediately, per creator settings)
• Payment failure after grace period
• Violation of creator's community rules
• Violation of these Terms

7.3 Subscriber Conduct

Subscribers agree to comply with each creator's community guidelines and Discord's Terms of Service. Harassment, abuse, or disruptive behavior may result in access revocation without refund.

You may not use Vatra Labs to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Distribute malware or harmful code
• Engage in fraud, money laundering, or illegal financial activities
• Harass, abuse, or harm others
• Distribute illegal content or content that exploits minors
• Circumvent or manipulate our fee structure
• Create fake accounts or misrepresent your identity
• Scrape or harvest data from our platform
• Interfere with the operation of the Service

By using Vatra Labs, you grant us a license to access, process, and analyze data from connected accounts (including YouTube, Patreon, and Discord) for the following purposes:

• Providing analytics dashboards and insights to creators
• Generating platform-wide reports and business intelligence
• Improving our services, algorithms, and features
• Ensuring platform security and preventing fraud

The Vatra Labs name, logo, and Service are owned by Vatra Labs Incorporated. You may not use our trademarks without prior written permission. Creators retain ownership of their content and communities.

VATRA LABS IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors will be corrected

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VATRA LABS INCORPORATED AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU to Club Vatra IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Vatra Labs Incorporated and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

14.1 Termination by You

You may terminate your account at any time by contacting us at help@clubvatra.com. Upon termination, your access to the Service will end and your data will be handled according to our Privacy Policy.

14.2 Termination by Us

We reserve the right to suspend or terminate accounts that:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Harm the platform, other users, or our reputation
• Remain inactive for extended periods

We will provide notice before termination when reasonably possible, except in cases of severe violations or legal requirements.

Any disputes arising from these Terms or your use of Vatra Labs shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in class action lawsuits against Vatra Labs.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

We may update these Terms from time to time. We will notify you of material changes via email or platform notification at least 30 days before the changes take effect. Your continued use of Vatra Labs after the effective date constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vatra Labs Incorporated regarding your use of Vatra Labs.
